AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Omega Education ("Company," "we," "us," "our"), concerning your access to and use of the www.omegaeducation.net website as well as any related applications (the “Site”) and the course services we provide (the “Services”).


You agree that by accessing the Site and our Services, you have read, understood, and agree to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.


Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference.


1. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and Services are our proprietary property. This includes, but is not limited to, the source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and the trademarks, service marks, and logos contained therein (the "Content") and the compilation thereof.

The courses, including all video lectures, audio, text, images, quizzes, presentation materials, and other educational materials provided by instructors (the "Course Content") are the intellectual property of the Company or the instructors who have licensed them to us. You are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Course Content for your personal, non-commercial, educational purposes only through the Site.

You may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Course Content for any other purpose without the prior written consent of the Company or the respective licensors.


2. USER REPRESENTATIONS

By using the Site or Services, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms.

  • You are not a minor in the jurisdiction in which you reside.

  • You will not access the Site through automated or non-human means, such as a bot, script, or otherwise.

  • You will not use the Site for any illegal or unauthorized purpose.

  • Your use of the Site will not violate any applicable law or regulation.


3. USER REGISTRATION

You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.


4. PURCHASES AND PAYMENT

We accept various payment methods as listed on the Site. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.

You further agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order.

We reserve the right to correct any errors in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.


5. SUBSCRIPTIONS AND CANCELLATION

A. Billing and Automatic Renewal: If you purchase a subscription, you will be billed in advance on a recurring and periodic basis (e.g., monthly, annually). Your subscription will automatically renew at the end of each billing cycle until you cancel.


B. Cancellation: You can cancel your subscription at any time through your account settings or by contacting us. Your cancellation will take effect at the end of the current paid billing term. We do not provide refunds for partial subscription periods or for unused time.


C. Fee Changes: We may change subscription fees at any time. We will provide you with reasonable prior notice of any change in fees. Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified amount.


6. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or other content to create or compile a collection or database.

  • Tricking, defrauding, defaming or misleading us and other users.

  • Circumventing, disabling, or otherwise interfering with security-related features.

  • Engaging in unauthorized framing of or linking to the Site or its content.

  • Uploading or transmitting viruses or any other malicious code.

  • Using the Site in an effort to compete with us.

  • Deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the Site.

  • Harassing, annoying, intimidating, or threatening any of our employees or instructors.

  • Using the Site as part of any effort to compete with us or otherwise using the Site for any revenue-generating endeavor or commercial enterprise.


7. USER GENERATED CONTRIBUTIONS

The Site may invite you to chat, contribute to, or participate in forums, and other functionality ("Interactive Areas"). You are solely responsible for the content you post, including questions, answers, reviews, and posts (your "Contributions"). You agree that we are not liable for any Contributions and you expressly grant us a royalty-free, perpetual, irrevocable license to use, modify, and display your Contributions in connection with the Services.

You warrant that your Contributions are not false, inaccurate, or misleading and do not violate any third-party's rights or any applicable law.

We have the right, but not the obligation, to monitor and remove any Contributions for any reason at our sole discretion.


8. GUIDELINES FOR REVIEWS

We may provide specific areas for you to leave reviews. When posting a review, you must comply with the following criteria:

  • You should have firsthand experience with the person/entity being reviewed.

  • Your reviews should not contain offensive profanity, or abusive, racist, or hateful language.

  • Your reviews should not contain discriminatory references based on race, gender, national origin, age, marital status, sexual orientation, or disability.

  • You may not post any false or misleading statements.

  • You may not organize campaigns which encourage others to post reviews, whether positive or negative.


9. THIRD-PARTY WEBSITES AND CONTENT

The Site may contain links to other websites ("Third-Party Websites"). We are not responsible for the content, accuracy, or opinions expressed in such Third-Party Websites. We are not responsible for any damage or loss caused by your use of these sites.


10. SITE MANAGEMENT

We reserve the right, but not the obligation, to:

  • Monitor the Site for violations of these Terms.

  • Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms.

  • Refuse, restrict access to, or disable any of your Contributions.

  • Otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site and Services.


11. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.


12. TERM AND TERMINATION

These Terms shall remain in full force and effect while you use the Site or Services. We may, in our sole discretion and without notice or liability, deny access to and use of the Site to any person for any reason or no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation.


13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site or Services at any time or for any reason without notice to you. Under such circumstances, we shall make special arrangement(s) for the affected service(s) or refund all amount paid for the affected and incomplete service(s) within a reasonable time frame. 


14. GOVERNING LAW

These Terms shall be governed by and defined following the laws of  Hong Kong Special Administrative Region, China. You irrevocably consent that the courts of Hong Kong Special Administrative Region, China shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.


15. DISCLAIMER

THE SITE AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE COURSE CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE.


16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


17. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) your Contributions; (3) breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a third party.


18. ELECTRONIC COMMUNICATIONS

You consent to receive electronic communications from us and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
